Terms and Conditions
1. Scope
These Terms and Conditions apply to contracts concluded through ftsdigitalservices.com for digital content, analyses and commissioned reports, website development, e-commerce development, SEO, IT consulting and related digital services. Mandatory consumer rights remain unaffected.
2. Contract formation and scope
Product and service descriptions are invitations to place an order. A binding contract is formed when we accept the order by order confirmation, begin performance, or provide digital content, whichever occurs first. The contractual scope follows the product description, checkout information, written proposal and any expressly agreed project specification.
3. Prices, payment, delivery and fulfilment
The price and currency displayed at checkout apply. Unless otherwise agreed in writing, payment is due when the order is placed. Work outside the agreed scope requires a separate agreement. Third-party costs such as domains, hosting, licences, paid plugins or external services are charged only where stated or approved by the customer.
Digital delivery: Digital products, reports, documentation and other electronically supplied content are delivered by email, customer account, download or another electronic method stated in the product description or order confirmation. Any stated delivery time begins only after payment has been confirmed and all information or declarations required to fulfil the order have been received.
Software procurement on demand: Software licences are not held as inventory. Where software is required for an IT consulting assignment or customer project, it is procured only after the customer requirement and order have been confirmed. Supply therefore remains subject to availability and the conditions of the relevant supplier or software vendor until procurement is confirmed. If an agreed item cannot be procured, we will inform the customer without undue delay and refund the amount paid for the undelivered item or, with the customer’s agreement, provide a suitable alternative. We do not substitute a different product without consent.
Services and project fulfilment: Consulting, SEO, website, e-commerce and implementation services are performed according to the scope, milestones and timeframe stated in the relevant product description, proposal, project specification or order confirmation. Customer cooperation, approvals, required access and third-party platform availability can affect the completion date. Fulfilment confirmations and relevant access, download, licence or project information are provided electronically where applicable.
4. Commissioned analyses, reports and digital deliverables
Digital reports, analyses, downloads, templates and documentation are supplied electronically and not on a tangible medium. Unless otherwise stated, the customer receives a non-exclusive, non-transferable right of use for the customer’s own internal private or business purposes. Resale, redistribution, publication, sublicensing or offering supplied material as a competing product is prohibited without prior written permission.
Our pre-existing know-how, internal prompts, methods, workflows, templates, source materials and reusable systems remain our intellectual property unless specific rights are expressly transferred in writing.
5. Cancellation right for expressly downloadable digital content
Where a product is expressly sold as digital content not supplied on a tangible medium, the statutory rules for that form of digital content apply. If the consumer expressly agrees that supply may begin before the cancellation period expires, acknowledges the legally relevant consequences for the cancellation right and receives the required contract confirmation, the cancellation right may end when supply begins in accordance with applicable law. Prompt-based analyses and commissioned reports that F-T-S performs for the customer are treated as services under section 6 below.
6. Services: early performance, cancellation and proportionate payment
Website, e-commerce, SEO, consulting, prompt-based analyses, commissioned reports and implementation packages are services. A consumer may expressly request that we begin work before the statutory cancellation period expires. If the consumer then cancels before the service has been fully performed, the consumer must pay a reasonable amount proportionate to the service actually performed up to the time the cancellation reaches us, provided the statutory requirements for information and the consumer’s request have been met.
For fixed-price projects, the proportionate amount is determined using the agreed total project price and the objectively completed share of the contractual work. Evidence may include completed milestones, documented work, delivered drafts, implemented technical steps and legally recoverable non-cancellable project-specific third-party costs. We do not apply an automatic 50% or 100% cancellation charge merely because work has started.
For a paid service supplied to a consumer, the statutory cancellation right ends on full performance only where the legally required prior express consent and acknowledgement have been obtained.
7. Customer cooperation
The customer must provide information, content, approvals and access reasonably required for the project. Delivery dates may be extended where delays are caused by missing customer input, third-party platforms, force majeure or circumstances outside our reasonable control. Customers must not send passwords, payment credentials, private keys or similarly sensitive data through ordinary contact forms unless we expressly provide a secure route.
8. Changes and revisions
Included deliverables and revisions are those stated in the product description, proposal or project specification. Material scope changes, additional functions, products, pages or integrations may require additional fees. Statutory rights relating to defects or non-conforming performance remain unaffected.
9. Third-party services
Projects may depend on WordPress, WooCommerce, Shopify, Shopware, hosting providers, domain registrars, payment providers, search engines, analytics services, software vendors and plugin providers. Their availability, rules, pricing and technical operation are outside our direct control. We use reasonable care when integrating agreed third-party systems but do not guarantee uninterrupted operation of third-party services.
10. Intellectual property in commissioned work
After full payment, the customer receives the rights in final commissioned deliverables expressly stated in the product description, proposal or project agreement. Third-party materials remain subject to their own licences. No transfer of reusable internal systems, methods, prompts, source libraries or pre-existing materials is implied.
11. Liability and statutory rights
Nothing in these terms excludes liability where exclusion is prohibited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights. For business customers, any additional limitations agreed in an individual proposal or contract apply only to the extent permitted by law.
12. Ending a project outside a statutory cancellation right
If a customer ends a project after the statutory cancellation period or where no statutory cancellation right applies, amounts properly earned for work already performed remain payable. Project-specific non-cancellable third-party costs and other losses may be recoverable only to the extent permitted by law and contract. No penalty unrelated to actual work, commitments or lawful loss is imposed.
13. Complaints
Complaints may be sent to info@ftsdigitalservices.com quoting the order or project reference and describing the issue.
14. Governing law
These terms are governed by the laws of England and Wales. If the customer is a consumer habitually resident in another country, this choice does not deprive the consumer of mandatory protections applicable under the law of that country. Mandatory consumer jurisdiction rules remain unaffected.
15. Severability
If any provision is unenforceable, the remaining provisions continue to apply. The version in force when an order is concluded applies to that order unless a later change is expressly agreed or required by law.
